AppointWise Terms and Conditions

1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of
AppointWise's cloud-based lead-management, messaging, and appointment software
(the "Services"). By creating an account or using the Services you agree to
these Terms and to our Privacy Policy, which is incorporated by reference. If
you do not agree, do not use the Services.

2. Eligibility & Accounts

2.1 You must be at least 18 years old (or the age of majority in your
jurisdiction) and acting on behalf of a business to use the Services. The
Services are provided for business use only.

2.2 You are responsible for the security of your account credentials and for
all activity under your account, including activity by your team members and
anyone you authorize to configure or operate AI agents on your behalf.

3. Free Trial

A 2-week complimentary trial is available and requires payment details. The
trial converts automatically to a paid subscription unless cancelled before
the trial ends.

4. Subscription & Payment

Automatic charging applies after the trial. All subscription payments are
non-refundable except where required by applicable law (including UK consumer
law where it applies). Payment processing is subject to the payment
processor's terms.

5. Acceptable Use

5.1 You must use the Services only for lawful business communication with
individuals you are permitted to contact. You must not use the Services to:

a) send messages to any person without the consents or other lawful basis
required by applicable law (see Section 6);

b) contact, or configure campaigns directed at, children under 18;

c) harass, threaten, defraud, or deceive any person, or send content that is
unlawful, discriminatory, or sexually explicit;

d) impersonate any person or entity, or configure an agent to claim to be a
human being when directly asked whether it is automated;

e) provide regulated professional advice (including medical, legal, or
financial advice) through the Services, or use the Services in connection
with emergency services;

f) send messages concerning prohibited or age-restricted goods and services
where such messaging is restricted by law or by carrier policies;

g) circumvent, disable, or interfere with safety features of the Services,
including AI guardrails and conversation-termination behaviors;

h) resell or white-label the Services except under a separate written
agreement with us.

5.2 You are solely responsible for the content you configure into the
Services — including agent personas, prompts, "briefs," knowledge-base
content, and workflow automations — and for ensuring that content and the
resulting campaigns comply with applicable law and these Terms.

5.3 We may suspend or terminate access immediately where we reasonably
believe the Services are being used in breach of this Section 5.

6. Messaging Compliance & Consent

6.1 You are solely responsible for obtaining, recording, and honoring all
consents and permissions required to contact your leads and customers through
the channels you use, including (as applicable) the US Telephone Consumer
Protection Act (TCPA) and CAN-SPAM Act, the UK Privacy and Electronic
Communications Regulations (PECR), the EU ePrivacy rules, CASL (Canada), and
equivalent laws in any jurisdiction where your recipients are located.

6.2 You must honor opt-out requests promptly. You must not re-enroll or
continue messaging an individual who has opted out.

6.3 You acknowledge that messages sent through the Services are sent at your
direction and on your behalf. As between you and AppointWise, you are the
sender of all messages sent through your account.

7. AI Features — Important Disclaimers

7.1 The Services use artificial intelligence, including third-party large
language models, to generate and send messages, qualify leads, and book
appointments automatically ("AI Features").

7.2 You acknowledge and agree that:

a) AI-generated output is probabilistic and may be inaccurate, incomplete, or
inappropriate despite safeguards. The AI Features may misunderstand a
conversation, state something untrue (including about bookings,
cancellations, prices, or availability), or take an automation action you did
not intend;

b) you are responsible for supervising the AI Features: reviewing
conversations, configuring agents responsibly, and intervening or disabling
agents where appropriate. The Services provide tools for this (conversation
logs, manual takeover, per-lead AI off switches);

c) AI output does not constitute professional advice of any kind;

d) we may update AI guardrails, models, and safety behaviors at any time,
including behaviors that end conversations or decline content, and such
safety behavior overrides agent persona configuration;

e) you will not represent AI output to your customers or leads as having been
written by a human where it was not.

7.3 We are not liable for business outcomes of AI-generated communications,
including lost leads, missed or erroneous bookings, or the content of any
individual AI message, except to the extent liability cannot be excluded
under applicable law and subject to Section 11.

8. Termination

8.1 You may cancel your subscription at any time; charges already incurred
are non-refundable except as required by law. We may suspend or terminate
accounts for breach of these Terms.

8.2 Sections 5, 6, 7, 9, 10, 11, and 12 survive termination.

9. Data Protection & Privacy

9.1 Our collection and use of personal data is described in our Privacy
Policy. By using the Services you consent to that processing, including the
storage of conversation data needed for AI functionality.

9.2 Where you use the Services to process personal data of your leads and
customers that is subject to the UK GDPR or EU GDPR, you are the controller
and AppointWise is your processor. Our Data Processing Agreement ("DPA"),
available on request from hello@appointwise.io, is incorporated into these
Terms and governs that processing.

9.3 You warrant that you have provided all notices and obtained all
permissions required for AppointWise and its sub-processors (including AI
providers) to process your leads' data to provide the Services.

10. Indemnification

10.1 You will defend, indemnify, and hold harmless AppointWise, its
affiliates, and their officers, directors, employees, and agents from and
against any third-party claims, demands, regulatory actions, fines, losses,
and expenses (including reasonable legal fees) arising out of or relating to:

a) your use of the Services in breach of these Terms, including Sections 5
(Acceptable Use) and 6 (Messaging Compliance & Consent);

b) messages sent to individuals without the required consent or lawful basis;

c) content you configure into the Services (personas, briefs, prompts,
knowledge bases) and campaigns you run;

d) your violation of applicable law in connection with the Services.

10.2 We will promptly notify you of any claim subject to indemnification and
allow you to control the defense, provided you may not settle a claim that
imposes obligations on us without our consent.

11. Limitation of Liability

11.1 To the fullest extent permitted by law, AppointWise will not be liable
for any indirect, incidental, special, consequential, or punitive damages,
including loss of profits, data, or other intangibles.

11.2 AppointWise's total aggregate liability arising out of or relating to
the Services is capped at the amount paid by you in the 12 months preceding
the claim.

11.3 Nothing in these Terms excludes or limits liability that cannot be
excluded under applicable law, including liability for death or personal
injury caused by negligence, or for fraud.

12. Service Provision & Warranty Disclaimer

The Services are provided "as-is" and "as-available" without any warranty or
guarantee, express or implied, including fitness for a particular purpose,
and without any guarantee of uptime, message delivery, or AI output accuracy,
except as expressly stated in these Terms or required by law.

13. Changes to the Terms

We may update these Terms with notice to you; continued use after notice
constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of England and Wales.

15. Dispute Resolution

The parties will attempt good-faith resolution of any dispute before
commencing proceedings in the courts of England and Wales.

8. Termination

8.1 You may cancel your subscription at any time; charges already incurred

8.2 Sections 5, 6, 7, 9, 10, 11, and 12 survive termination.

9. Data Protection & Privacy

9.1 Our collection and use of personal data is described in our Privacy
Policy. By using the Services you consent to that processing, including the
storage of conversation data needed for AI functionality.

9.2 Where you use the Services to process personal data of your leads and
customers that is subject to the UK GDPR or EU GDPR, you are the controller
